1. Acceptance of Terms

By accessing or using any product or service operated by Wymzy Industries LLC ("Wymzy," "we," "us," or "our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use our products.

These Terms apply to the Wymzy applications hosted at app.wymzy.ai. We provide our applications on a white-glove basis: rather than a self-service store you browse and subscribe to, we set up each customer with the specific application they need, configure it for their business, and agree pricing with them directly. Your login is provisioned with the application(s) we have set up for you. Our applications include:

Individual product modules may have additional terms specific to their features. Where product-specific terms conflict with these company-level Terms, the product-specific terms govern for that product.

We may update these Terms from time to time. When we make material changes, we will notify you by email or by posting a notice on the affected product. Your continued use of any Wymzy product after changes take effect constitutes acceptance of the revised Terms.

2. Description of Services

Wymzy Industries LLC builds and operates a line of small-business applications hosted at app.wymzy.ai. We set each customer up with the application they need and configure it for their business (white-glove onboarding). Our applications fall into two categories:

Vertical applications — each a complete workflow stack for a specific type of small business (Junebug for boutique retail, Mudpuppy for restaurants offering pickup and delivery).

Supporting tools — standalone single-purpose applications we may set up alongside a vertical (Foxfire for online reviews, Bullfrog for file storage, Sassafras for field prospecting).

Each application has its own features and functionality. Some applications require connecting third-party accounts (such as Google or Stripe) to operate — see Section 5 and our Privacy Policy for details.

3. Accounts

To use a Wymzy application you need a Wymzy account at app.wymzy.ai. We typically create your account for you as part of setting up your application, and you may be invited to set your own password. Your login gives you access to the application(s) we have provisioned for you. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

You must provide accurate and complete information for your account. You agree not to share your account access with others or allow unauthorized use of your account.

You must be at least 18 years of age and authorized to act on behalf of the business the account is for in order to open a Wymzy account.

If you become aware of any unauthorized use, contact us immediately at info@wymzy.ai.

4. Subscriptions, Billing & Cancellation

Pricing for your Wymzy application is agreed with you directly when we set up your account, and is shown on the "Your Plan" page inside your Wymzy account. We do not publish self-service pricing or offer self-service trials — your plan and rate are the ones we agreed with you. Optional add-ons (such as the Juniper assistant) are billed alongside your subscription at the rate shown on your "Your Plan" page.

Billing

All payments are processed through Stripe. By subscribing, you authorize Stripe to charge your payment method on a recurring monthly basis according to the plan shown on your "Your Plan" page. We never have access to your full credit or debit card number.

For Junebug and Mudpuppy, we use Stripe Connect (Express) so that payments from your customers flow directly through your connected Stripe account. Our role is limited to facilitating that connection and presenting your checkout and order pages.

Cancellation

You may cancel at any time by contacting us at info@wymzy.ai. Upon cancellation, your application remains active through the end of your current billing period. You will not be charged again after cancellation.

Refund Policy

We do not offer refunds for partial billing periods. When you cancel a module, you retain access to that module's features through the end of the current billing cycle. No prorated refunds will be issued. Duplicate charges, billing errors, and unauthorized charges are refunded as described in our Refund & Cancellation Policy.

Price Changes

We reserve the right to change pricing for any product module. If we do, we will provide at least 30 days' notice before the new price takes effect. Your continued subscription after the new price goes into effect constitutes acceptance of the updated pricing.

5. Connected Third-Party Accounts

Certain product modules require you to connect a third-party account ("Connected Account") in order to function. By connecting a Connected Account, you grant Wymzy permission to access that account on your behalf, solely to deliver the features of the module you are using.

• Foxfire — connects your Google Business Profile account to read and manage your business listing, reviews, and posts.
• Junebug and Mudpuppy — connect your Stripe account via Stripe Connect to receive customer payments directly.

You may disconnect a Connected Account at any time from within the relevant module. Disconnecting revokes our ability to access that account going forward. Cached data already retrieved may persist according to our Privacy Policy retention terms.

6. User Content

You retain full ownership of all content you upload, create, or provide through any Wymzy product ("User Content"), including text, images, files, documents, invoices, bookings, receipts, contacts, inventory records, website content, and all other materials.

By using our products, you grant Wymzy Industries LLC a worldwide, non-exclusive, royalty-free license to host, display, reproduce, and distribute your User Content solely for the purpose of operating and providing the Service. This license exists only to enable us to deliver the features of our products. This license terminates when you delete your content or your account.

You represent and warrant that you own or have the necessary rights to all User Content you provide, including third-party contact data (such as customer names and emails entered into Junebug or Mudpuppy), and that your content does not infringe on the intellectual property rights or other rights of any third party.

Your Customers' Data

Some applications hold personal information about yourcustomers — for example, the names, phone numbers, email addresses, and delivery addresses of the people who buy from you through Junebug or order from you through Mudpuppy ("Customer Data"). As between you and Wymzy, you control this Customer Data and you are responsible for it.

Wymzy acts only as your service provider with respect to Customer Data. We process it solely to provide and operate the application for you and on your instructions. We do not sell Customer Data, do not share it except with the service providers needed to run the application (described in our Privacy Policy), and do not use it for our own purposes such as advertising or building marketing profiles.

You are responsible for collecting and using your Customer Data lawfully — including providing any privacy notices, obtaining any consents, and honoring any data-access or deletion requests required by laws that apply to your business (such as the CCPA, CAN-SPAM, the TCPA, or the GDPR). If one of your customers asks you to correct or delete their information, you can do so directly inside the application, and we will assist you on request.

7. Acceptable Use

You agree not to use any Wymzy product to:

• Upload, publish, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, or otherwise objectionable
• Send unsolicited marketing (spam) via any communication tool without the recipient's consent as required by CAN-SPAM, TCPA, GDPR, and other applicable laws
• Impersonate any person or entity, or falsely represent your affiliation with a person or entity
• Distribute phishing links, malware, or any other harmful or deceptive material
• Attempt to gain unauthorized access to any Wymzy product, other accounts, or any systems or networks connected to our products
• Use any Wymzy product for any illegal purpose or in violation of any applicable law
• Interfere with or disrupt the operation of any Wymzy product
• Scrape, crawl, or use automated means to access any Wymzy product without our express written permission
• Upload content that infringes on any patent, trademark, trade secret, copyright, or other proprietary right of any party

We reserve the right to remove any User Content and suspend or terminate accounts that violate these Terms, at our sole discretion and without prior notice.

8. Intellectual Property

The Wymzy Industries name, logo, branding, and all proprietary technology underlying our products are the exclusive property of Wymzy Industries LLC. The names Junebug, Mudpuppy, Foxfire, Bullfrog, and Sassafras are trademarks of Wymzy Industries LLC.

You may not copy, modify, distribute, sell, or lease any part of our products or their underlying software, nor may you reverse-engineer or attempt to extract the source code, unless applicable law permits it or you have our written consent.

9. Termination

You may stop using any Wymzy product and delete your account at any time from your account settings. Upon account deletion, your User Content will be permanently removed from our servers within 30 days.

We may suspend or terminate your access to any Wymzy product at any time, with or without cause, and with or without notice. Grounds for termination include, but are not limited to, violation of these Terms, fraudulent or illegal activity, extended periods of inactivity, or requests by law enforcement.

Upon termination, your right to use the product ceases immediately. Sections of these Terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, limitations of liability, and governing law.

10. Disclaimers

OUR PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that any product will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not warrant the accuracy, reliability, or completeness of any content available through our products, including content generated by AI features (such as Foxfire AI-written replies or product-description drafting).

You use our products at your own risk.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WYMZY INDUSTRIES LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use of or inability to use any Wymzy product
• Any unauthorized access to or use of our servers or your personal information
• Any interruption or cessation of any product
• Any bugs, viruses, or other harmful code transmitted through any product by any third party
• Any content or conduct of any third party on any product

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO ANY WYMZY PRODUCT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR $50.00, WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless Wymzy Industries LLC and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of any Wymzy product, your User Content, or your violation of these Terms.

13. Website Design & Development Services

In addition to our applications, Wymzy designs and builds custom websites for small businesses on a white-glove basis. Each website engagement is governed by a separate written proposal or project agreement that we provide and you accept before work begins (your "Project Agreement"). Where a Project Agreement conflicts with these Terms, the Project Agreement governs for that engagement.

Deposit and Payment

Website projects are billed as a deposit due before work begins and the remaining balance due on completion, in the amounts and split stated in your Project Agreement (typically 50% to start and 50% on completion). The deposit reserves your build slot and pays for work started on your project. If you cancel after we have begun, your deposit is applied to the work completed up to that point, as described in our Refund & Cancellation Policy. Final payment is due when the site is delivered and ready to go live.

Your Materials and Content

You are responsible for providing the text, images, logos, and other materials we need to build your site, and for doing so promptly. You represent and warrant that you own or have the rights to use all materials you provide, and you agree to indemnify Wymzy against any claim that your materials infringe a third party's rights. Timeline estimates assume you supply materials and approvals on time; delays on your side extend the schedule accordingly.

Ownership and Licenses

On full payment, you own the final website content and design we deliver for you. Third-party components used in your site (such as fonts, stock media, and software libraries) remain subject to their own licenses. We retain ownership of our own underlying tools, templates, and know-how, and we may display your completed site in our portfolio unless your Project Agreement says otherwise.

Revisions

Your Project Agreement sets how many rounds of revisions to the design and copy are included; additional rounds are billed at our hourly rate. Adding a new capability (for example, online booking, payments, or customer logins) is new work and is quoted separately.

Hosting and Cancellation

Ongoing hosting and maintenance of your live site is a separate monthly subscription billed under Section 4 and our Refund & Cancellation Policy. You may cancel hosting at any time; when you do, your live site is taken offline and, on request, we transfer its code to you. We do not guarantee any specific business result from your website, such as search rankings, traffic, or sales.

14. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of law provisions. Any legal action or proceeding arising out of or relating to these Terms or any Wymzy product shall be brought exclusively in the state or federal courts located in Union County, Arkansas.

Before filing any claim, you agree to first contact us at info@wymzy.ai and attempt to resolve the dispute informally for at least 30 days.

15. Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and any product-specific terms, constitute the entire agreement between you and Wymzy Industries LLC regarding your use of our products, and supersede any prior agreements.
